1. Acceptance of Terms

By accessing or using SorionAI ("the Platform", "the Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you (the "User", "you", or "your") and SorionAI Ltd (Company No. 17008602), registered at 61 Bridge Street, Kington, HR5 3DJ, United Kingdom ("SorionAI", "we", "us"). By creating an account or using our services, you represent that you have the legal capacity to enter into this agreement.

2. Service Description

SorionAI is an AI-powered conversational commerce platform designed for e-commerce businesses. Our services include:

• Multi-channel messaging automation (Messenger, Instagram, Web Widget)
• AI-powered customer service with dual personas (Vortex for sales, Oracle for analytics)
• Paddle-powered subscription billing and online payment processing
• E-commerce integration with Shopify and other platforms
• Multilingual support (English, French, Arabic)
• Real-time analytics and business intelligence dashboards
• AI models powered by FastAPI Gateway (GPT-4o-mini, Mistral-large)

3. User Accounts

3.1 Account Registration

To use SorionAI, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction to use SorionAI. By creating an account, you represent that you meet these requirements.

3.3 Business Accounts

If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. Acceptable Use Policy

You agree NOT to use SorionAI to:

• Violate any applicable laws or regulations
• Send spam, unsolicited messages, or engage in deceptive marketing practices
• Distribute malware, viruses, or malicious code
• Infringe on intellectual property rights of others
• Harass, abuse, or harm others
• Impersonate any person or entity
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated scripts or bots to scrape or extract data
• Resell or redistribute our services without authorization
• Use the platform for illegal activities, including fraud or money laundering

Violation of this policy may result in immediate account suspension or termination.

5. Subscription and Billing

5.1 Free Trial

SorionAI offers a 14-day free trial. No credit card is required to start your trial. After the trial period ends, you must subscribe to a paid plan to continue using the service.

5.2 Paid Subscriptions

• Subscriptions are billed monthly or annually (as selected by you)
• All prices are displayed in USD (or local currency if available)
• Payments are processed by Paddle.com
• You authorize us to charge your payment method automatically each billing cycle
• Subscriptions auto-renew unless canceled before the next billing date

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

5.3 Refund Policy

We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied with the service within the first 30 days, you may request a full refund. Refunds after 30 days are issued at our discretion on a case-by-case basis.

5.4 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, your account will remain active until the end of the current billing period. No partial refunds are provided for mid-cycle cancellations.

5.5 Price Changes

We reserve the right to change our pricing at any time. If we increase prices, we will notify you at least 30 days in advance. Existing customers will be grandfathered into their current pricing for 6 months after a price increase.

6. Intellectual Property Rights

6.1 SorionAI Ownership

SorionAI and all related software, AI models, designs, logos, and trademarks are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of our platform without written permission.

6.2 User-Generated Content

You retain ownership of all data you upload to SorionAI, including:

• Product catalogs and descriptions
• Customer conversation data
• Order information
• Brand assets (logos, images)

By using SorionAI, you grant us a limited license to use this data solely for the purpose of providing our services, including training AI models to improve performance.

6.3 AI-Generated Content

Content generated by our AI models (Vortex and Oracle) based on your input is owned by you. However, we retain the right to use anonymized AI training data to improve our models.

7. Data Privacy and Security

Your privacy is important to us. Our data collection, use, and protection practices are detailed in our Privacy Policy.

• We implement industry-standard security measures (HTTPS/TLS, RLS, encryption)
• AI processing is done via secure FastAPI Gateway with enterprise-grade privacy
• We comply with GDPR, CCPA, and other data protection regulations
• We do NOT sell your data to third parties
• You have the right to access, export, and delete your data at any time

8. Third-Party Integrations

SorionAI integrates with third-party services including:

• Meta (Facebook/Instagram): For Messenger and Instagram messaging
• Shopify: For e-commerce order synchronization
• Payment Processing: Paddle.com for billing and checkout

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of third-party services.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. SorionAI is provided "as is" and "as available" without warranties of any kind, express or implied.

9.2 AI Accuracy

While our AI models (Vortex and Oracle) are trained to provide accurate and helpful responses, we do not guarantee 100% accuracy. You are responsible for reviewing AI-generated content before using it in customer interactions.

9.3 Limitation of Liability

To the maximum extent permitted by law, SorionAI and its affiliates shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from third-party integrations or services
• Damages resulting from unauthorized access or data breaches beyond our control

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SorionAI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your use of AI-generated content in violation of applicable laws

11. Termination

11.1 Termination by You

You may terminate your account at any time by visiting your account settings. Upon termination:

• Your access to the Platform will be revoked immediately
• Your data will be deleted within 30 days (unless required by law to retain)
• No refunds will be issued for the current billing period

11.2 Termination by Us

We reserve the right to suspend or terminate your account if:

• You violate these Terms or our Acceptable Use Policy
• Your account is involved in fraudulent or illegal activities
• You fail to pay subscription fees
• We are required to do so by law or court order

We will provide notice before termination unless immediate action is required for legal or security reasons.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of England and Wales without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms or your use of SorionAI shall be resolved through:

1. Informal Negotiation: Contact us at support@sorionai.com to resolve the issue
2. Mediation: If informal negotiation fails, we will attempt mediation
3. Arbitration: If mediation fails, disputes shall be resolved via binding arbitration

You waive the right to participate in class-action lawsuits or class-wide arbitration.

13. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we will notify you via email or a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of SorionAI after the effective date constitutes acceptance of the updated Terms.
